Title : VP Legal & Projects
Reports to : CEO
Role Summary
We’re seeking a high-caliber legal executive to join our team as VP Legal & Projects (Director to GC level) . You will lead all legal functions across capital raises, corporate governance, intellectual property, and groundbreaking carbon capture project development . You’ll work side-by-side with the CEO, engineering, finance, and outside counsel to structure deals, manage risks, and drive execution.
Key Responsibilities
Lead and negotiate VC / growth equity / convertible instruments rounds (convertible notes, preferred stock, warrants)
Structure, negotiate, and document project finance, JDA, EPC/turnkey, offtake, supply, O&M, performance contracts, guarantees, intercompany agreements
Oversee all legal due diligence, manage external counsel, and internal legal operations
Build and maintain corporate governance, compliance, board and equity management systems
Help lead the company's intellectual property, patent, trademark work
Identify legal and regulatory risks in permitting, environmental, industrial regulation, and develop mitigation strategies
Draft, review, and negotiate commercial contracts, commercial partnerships, licensing, joint ventures
Manage and hire legal team (or manage outside specialists: tax, securities, environmental) as the company grows
Provide strategic legal advice to leadership and help shape business decisions
Qualifications
J.D. degree and active bar license (or eligible)
10+ years of legal experience, ideally with both project finance / energy / infrastructure and venture / capital raise / corporate finance exposure
Experience leading and closing multi-party, complex deals
Able to run a legal function, manage outside counsel, and scale a team
Excellent judgment, strong communication to non-legal stakeholders
Comfortable in ambiguity, fast pace, first-of-kind deals
Bonus: experience in Colorado / environmental / energy / permitting
